Royalty Free Stock Photo License

THIS IS A LEGAL AGREEMENT (THE "AGREEMENT") BETWEEN LICENSEE ("YOU") AND OWNER (JAI JOHNSON/JOHNSON ART INTERNATIONAL). 
THIS AGREEMENT IS APPLICABLE TO ONLINE, DIGITAL AND ANALOG (PHYSICAL) DELIVERY OF LICENSED MATERIAL. 
BY ORDERING A LICENSE, LICENSEE IS CONFIRMING THAT IT HAS CAPACITY TO FORM A CONTRACT UNDER ITS LOCAL LAWS. 

SECTION 1 -  GRANT OF RIGHTS:

The Owner ("Owner") of the copyrighted stock photograph being purchased (the "Work"), hereby grants the Licensee ("YOU") the non-exclusive, 
non-assignable, non-sublicensable, and perpetual right to use, reproduce, and distribute the copyrighted Work an unlimited number of times in any 
and all media for all purposes other than those uses prohibited under Section 3 of this Agreement. 

SECTION 2 - ACCEPTABLE USE - Via this license  agreement, you MAY:

1) Use the copyrighted Work to print ONE item for your own personal use.  
You must purchase a license for each item you wish to produce.  
For example, if you wish to create one canvas print from a photo, purchase ONE license.  
If you wish to produce 3 canvas prints from a photo, you must purchase THREE licenses.

2) Incorporate the copyrighted Work, in whole or in part, into derivative art works {for example:  photo-art with textures, and/or digital paintings} 
for sale and/or distribution {including print on demand products}

3) Use the copyrighted work as a reference for your digital and/or traditional paintings.

4) Incorporate the copyrighted Work, in whole or in part, into news and/or magazine articles, with a printed copy of said work being mailed to the address below
 
5) Incorporate the copyrighted Work, in whole or in part, into a website page or a blog post, with a link being provided back to this website

SECTION 3 - RESTRICTIONS - You MAY NOT:

1) Sell or distribute electronic copies of the Work as standalone files, or as part of a product from which a person is able to extract the Work as a standalone file

2) Incorporate the copyrighted Work, in whole or in part, into business advertisements and advertising materials (business cards, brochures, etc) 

3) Incorporate the copyrighted Work, in whole or in part, into product packaging 

4) Incorporate the copyrighted Work, in whole or in part, into a Book cover, CD cover, and/or DVD cover for sale and distribution 

5) Use the Work in fine art numbered prints 

6) Use the Work as part of a logo, corporate ID, trademark or service mark 

7) Use the Work in a pornographic, defamatory, racist, hatred or otherwise unlawful manner 

8) Claim the Work as your own

9) Assign or license the Work to a third party

SECTION 4 - You AGREE:

1) In consideration for the grant of this non-exclusive license, you agree to pay Owner the amount specified, due and payable immediately 
prior to your downloading a digital copy of the Work.  

2)  If the Work is reproduced as is for editorial purposes (magazine article, news article, blog post, etc)  you agree to post the following copyright notation 
on, under, alongside or near the photo (© Jai Johnson/Johnson Art International) and if on a website, you also agree to post terms and conditions 
on the website which prohibit downloading, republication, retransmission, reproduction or other use of the Work.  

SECTION 5 - CONCLUSION:

Owner retains all other rights in the Work and any derivative work Owner creates using the Work, including without limitation, the right to use, 
copy, sell, license, and distribute copies of the Work in all markets and territories.  

This Agreement shall be construed and enforced in accordance with the laws designated by Owner, now or in the future.
